WPSS Recognition Programme Terms & Conditions

1. Programme Overview

The WPSS Recognition Programme ("Programme") is operated by Nestlé UK Ltd in relation to participating We Proudly Serve Starbucks® customers.

The Programme enables eligible customers to qualify for certain benefits and recognition levels based on the criteria communicated by Nestlé from time to time.

Participation in the Programme does not amend, replace or supersede any obligations contained in the customer’s existing WPSS agreement.

 

2. Eligibility

To participate in the Programme, customers must:

  • have a current and valid WPSS agreement with Nestlé;
  • remain in good standing under that agreement; and
  • satisfy the relevant Programme criteria notified by Nestlé for the applicable assessment period.

 

3. Recognition Levels

Customers may be allocated to a recognition level (for example Gold, Silver or Bronze) based on achievement of the applicable Programme criteria.

Customers who do not meet the relevant criteria will be categorised as Not Eligible for Incentive for the relevant assessment period.

Programme recognition levels are determined solely by Nestlé acting reasonably and in accordance with the Programme criteria.

 

4. Programme Criteria

Programme criteria may include factors such as:

  • purchase of designated WPSS products;
  • achievement of applicable WPSS programme thresholds;
  • use of approved products;
  • adherence to applicable Starbucks branding standards;
  • compliance with operational standards; and
  • such other criteria as Nestlé may communicate from time to time.

 

Nestlé may update the Programme criteria on reasonable notice.

 

5. Incentives and Benefits

Customers achieving the applicable recognition level may receive the benefits associated with that level, as communicated by Nestlé from time to time.

Benefits:

  • have no cash value unless expressly stated otherwise;
  • are non-transferable; and
  • may not be exchanged for alternative products, services or benefits.

Failure to achieve a recognition level will result only in ineligibility to receive the relevant Programme benefit.

 

6. Verification and Audit Rights

Nestlé may verify a customer's eligibility for a recognition level using purchasing data, account information, site assessments and other relevant records.

Customers shall provide reasonable information and assistance required to verify eligibility.

If Nestlé reasonably determines that a customer has received a benefit to which it was not entitled, Nestlé may withdraw, withhold or recover that benefit.

 

7. Existing Contractual Obligations

Nothing in this Programme:

  • creates additional contractual compliance obligations under the WPSS agreement;
  • limits any rights or remedies available under the WPSS agreement; or
  • affects the parties' rights and obligations under the existing WPSS agreement.

Assessment under this Programme is solely for determining eligibility for Programme benefits.

 

8. Suspension or Removal

Nestlé may suspend or remove a customer from the Programme where:

  • the customer ceases to participate in the WPSS programme;
  • the customer's WPSS agreement terminates;
  • the customer provides inaccurate information; or
  • Nestlé reasonably believes participation in the Programme is being abused.

 

9. Changes to the Programme

Nestlé reserves the right to:

  • amend the Programme criteria;
  • amend the benefits available;
  • withdraw particular benefits;
  • suspend the Programme; or
  • terminate the Programme entirely,

at any time on reasonable notice.

 

10. Decisions

Nestlé's decisions regarding Programme eligibility, recognition levels and benefit entitlement shall be final, save in the case of manifest error.
